- дословно "протыкание корпоративной вуали", принцип, при котором суд или арбитраж может возложить ответственность не только на лицо, непосредственно причинившее вред, но и на его аффилированное лицо или руководителя, не считаясь с принятыми в корпоративном праве правилами ограниченной ответственности при создании хозяйствующего субъекта. Применяется только для наказания лиц, чья деятельность носит очевидно противозаконный и/или недобросовестный характер, когда во исполнение указаний, данных таким лицом, контролируемый им хозяйствующий субъект причиняет ущерб своему контрагенту по сделке, содержащей арбитражное соглашение.
